Moreover, every company incorporated in Hong Kong must make an annual return (NAR1) which should be delivered to the Registrar of Companies (the Registrar) for registration.     What is NAR1?

    As a company in Hong Kong, you have to renew the business registration contract every year with a fee to the Companies Registry. Since NAR1 contains all of the important information about your company, from directors and shareholders to official address and business operations it serves as key pillar of a strong government database. That’s why you have to fill the form every year either your company is private or public or limited by guarantee. It must be completed, signed and delivered within 42 days after the date of return.

    It is okay to use Chinese or English language to fill the form. But, one thing to note down is that you should use traditional Chinese characters if you choose to use Chinese. If you use other languages, you must deliver a certified translation in English or Chinese.

    Detailed Requirement for NAR1 Form

    NAR1 must include the most up-to-date company’s information, such as directors, shareholders and company secretary, registered office’s address, etc. In NAR1 form , it includes 15 sections to complete. Here are is detailed facts that will guide you how to fill each section, starting from 1 to 15.

    1: Company Name

    • Fill official company name and business registration number
    • Name of the business must match the information on the Certificate of Incorporation or most recent Certificate of Change of Name for the business.

    2: Business Name

    • Complete any business names used in addition to the company’s name.

    3: Type of Company

    • Tick a box that best described the type of your company listed on registry website
    • On condition that there are multiple, provide the main one

    4: Date to Which Returned is Made Up

    • If it is private company, it is incorporation’s anniversary date.
    • For public company, it is 6 months after the end of its accounting reference period.
    • Suppose yours is company limited by guarantee, it is 9 months after the end of its accounting reference period.

    5: Period Covered

    • Private company needs not to complete this section
    • Public companies and companies limited by guarantee must submit certified copies of financial statements, directors’ reports, and auditors’ reports with each annual return, as required by section 430 of the Companies Ordinance.

    6: Address of Registered Office

    • Complete registered office address
    • Non-Hong Kong addresses, ‘care of’ addresses are not acceptable.

    7: Email Address

    • Share Company official email address
    • Use Form NR1 to notify the Companies Registry for changes

    8: Phone Number

    • Fill Company official phone number
    • Use Form NR1 to notify the Companies Registry for changes

    9: Mortgages & Charges

    • State total indebtedness as of the return date for all mortgages and charges required to be registered with the Registrar of Companies under the Companies Ordinance (Cap. 622)

    10: Number of Member(s) of a Company Not Having a Share Capital

    • Number of Member(s) as at the Date to which this Return is Made Up

    11: Share Capital

    • Express Details on the value of company’s shares
    • Include different types, number of shares and individual values

    12: Company Secretary

    • Give information of secretary
    • Name in English & Chinese, Hong Kong Address, email and company number

    13: Directors

    • Provide name, address and requested information in the form

    14: Particulars of Member(s) of Company Having a Share Capital

    • Company having a share capital must tick a box
    • In a case that CD-ROM or DVD-ROM is used, particulars of member(s) must be provided in Excel file format and in the form specified by the Companies Registry

    15: Company Records

    • Add register, index, agreement, memorandum, minutes or other document required by the Companies Ordinance but not accounting records.
